These Terms of Use ("Terms") are a binding agreement between you and QuoteHive ("QuoteHive", "the Platform", "we", "us"). They govern your access to and use of our websites, mobile applications and services (together, the "Services"). By creating an account, posting a job, placing a bid, buying credits, or otherwise using the Services, you agree to these Terms, our Privacy Policy and our Posting Policy, each of which is incorporated by reference. If you do not agree, do not use the Services.
QuoteHive operates an online introduction service that connects persons seeking construction, renovation and trade services ("Clients") with independent contractors ("Contractors"). QuoteHive is a neutral venue. We are not a contractor, general contractor, broker of record, employer, agent, or party to any agreement for work formed between users. We do not supervise, direct, control, inspect, insure or guarantee any work, materials, pricing, timelines, safety, licensing or outcome. Any contract for work is solely between the Client and the Contractor.
You must be at least 18 years old and able to form a binding contract. You must use the Services only for lawful purposes and in a jurisdiction where the Services are available. Businesses may use the Services through an authorized representative who accepts these Terms on the business's behalf.
You must provide accurate, current and complete registration information and keep it up to date. You are responsible for safeguarding your password, for enabling security features we offer (such as two-factor authentication), and for all activity that occurs under your account. Notify us promptly of any unauthorized use. One person or business may not maintain multiple accounts to evade limits, suspensions or verification. You may not transfer or sell your account.
You agree not to: (a) post false, misleading, fraudulent, illegal or infringing content; (b) impersonate any person or misrepresent your identity, affiliation, licensing or insurance; (c) harvest, scrape or collect other users' data, or send unsolicited or bulk messages; (d) introduce malware, probe, overload or interfere with the Services or attempt to bypass security, rate limits or the bidding process; (e) use the Services to harass, defame, threaten or discriminate against anyone; or (f) use the Services in a way that violates any applicable law or these Terms. Prohibited and regulated content is described in detail in our Posting Policy.
Contractors must submit proof of identity and, where applicable, liability insurance, workers' compensation (e.g. WSIB) and trade licensing before bidding. A "verified" status reflects only that documentation was reviewed at the time of submission and that any expiry dates on file have not lapsed; it is not an endorsement, a guarantee of current coverage or competence, or a substitute for a Client's own diligence. Where a required credential expires, bidding is paused until updated documents are submitted and re-reviewed. Clients should independently confirm a Contractor's credentials, references and insurance before contracting.
Clients must post genuine, lawful projects and must own the relevant property or be authorized to commission work on it. A bid is a binding offer by the Contractor to perform the described scope at the quoted price, open for the Client's acceptance until the bidding deadline passes. Each job accepts bids from any verified Contractor until its deadline; larger projects (for example $100,000 and over) may run on a formal tender schedule with a Bid of Intent window, as shown on each job. Once a bid is accepted, the Client and Contractor contact details are exchanged and the parties contract directly with each other. You are responsible for the accuracy of everything you post, bid or agree to.
Contractors purchase prepaid credits to place bids. The credit cost per bid varies with the posted job budget and is displayed before each bid is confirmed. Credits are non-refundable and expire six (6) months after purchase, except where a refund is required by applicable consumer-protection law. If we remove a job for breaching these Terms while its bidding is still open, credits spent bidding on that removed job will be returned. Prices are in Canadian dollars and are exclusive of applicable taxes (GST/HST) unless stated. Payments are processed by our third-party payment processor (Stripe); we do not store full card numbers. You authorize us and our processor to charge your selected payment method for the credits or services you purchase.
We charge no commission on the value of work contracted between users. However, deliberately soliciting or accepting platform-introduced work while avoiding the bid process, or arranging to move an introduced relationship off-platform to evade credits, verification or these Terms ("circumvention"), is prohibited and may result in suspension or termination.
Clients may review Contractors after a hire, and users may submit other content (messages, photos, listings). Reviews and content must be honest, lawful, your own or properly licensed, and based on genuine experience. You retain ownership of content you submit, but you grant QuoteHive a worldwide, royalty-free, sublicensable licence to host, store, reproduce, display and distribute that content as needed to operate, promote and improve the Services. We may remove or refuse content that is defamatory, discriminatory, deceptive, infringing, or unrelated to the work, at our discretion.
The Services, including the QuoteHive name, logos, design, text, graphics and software, are owned by QuoteHive or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. You may not copy, modify, reverse-engineer, resell, frame or create derivative works from the Services, or use our trademarks, without our prior written consent. If you believe content on the Platform infringes your rights, contact us through the contact form with details so we can review it.
The Services rely on third parties (such as payment, hosting, email, mapping and analytics providers) and may contain links to third-party sites. We are not responsible for the content, products, policies or practices of any third party, and your dealings with them are at your own risk and subject to their terms.
The Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any Contractor, Client, job, bid, listing or credential is accurate, legitimate, insured, licensed or suitable. Any reliance on the Services or on other users is at your own risk.
To the maximum extent permitted by law, QuoteHive's total aggregate liability to any user for any claim arising out of or relating to the Services is limited to the greater of (a) the amounts that user paid to QuoteHive in the six (6) months preceding the claim and (b) one hundred dollars ($100 CAD). We are not liable for any indirect, incidental, special, punitive or consequential damages, or for lost profits, data or goodwill, or for any dispute, defect, delay, non-performance, property damage, personal injury, cost overrun or loss arising from work performed or commissioned by users. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You agree to defend, indemnify and hold harmless QuoteHive and its officers, employees and agents from any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising from your use of the Services, your content, your job postings, bids, listings or reviews, your breach of these Terms or of any law, or any work you perform or commission.
You may stop using the Services and close your account at any time through your account settings or the contact form. We may suspend, restrict or terminate your access, remove content, or reverse transactions, with or without notice, if you breach these Terms or our policies, post fraudulent or unlawful content, create a risk or possible legal exposure for us or other users, or if required by law. On termination, licences granted to you end; sections that by their nature should survive (including payment obligations, disclaimers, limitation of liability, indemnity and governing law) continue to apply. Certain records are retained as described in our Privacy Policy.
If a dispute arises between you and QuoteHive, please first contact us so we can try to resolve it informally through the contact form. Disputes between users about work, payment or conduct are the users' own responsibility to resolve; QuoteHive is not a party and has no obligation to mediate, but may, at its discretion, provide records to assist. Nothing in these Terms requires you to waive any right you cannot lawfully waive.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. Subject to any mandatory consumer-protection rights, you agree that the courts located in Ontario have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.
We may update these Terms from time to time. Material changes will be posted here with a new "last updated" date and, where appropriate, communicated to account holders. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
